IMAGE MIAMI Terms of Service

1. Introduction
Welcome to IMAGE MIAMI. These Terms of Service (the “Terms”) govern your access to and use of the IMAGE MIAMI website, pages, galleries, booking forms, gift invitation pages, event coverage pages, articles, features, digital media, communications, and related online services (collectively, the “Services”).
IMAGE MIAMI is a visual media platform and creative service provider for events, business portraits, private sessions, venues, organizers, partners, guests, and related editorial or promotional features. By accessing the Services, submitting an inquiry, booking a service, making a payment, viewing a gallery, downloading files, purchasing or using a gift invitation or gift certificate, or otherwise interacting with IMAGE MIAMI, you agree to these Terms and to any additional terms that apply to the specific service or transaction.
If you do not agree to these Terms, you should not use the Services.
2. Related Legal Terms
These Terms work together with other IMAGE MIAMI legal documents, including the Privacy Policy, Cookie Policy, Booking Terms & Service Agreement, Photo Usage Rights, Photo Release, Gift Certificate Terms, and Event Photography Notice, as applicable.
If there is a conflict between these Terms and a more specific IMAGE MIAMI document for a particular service or transaction, the more specific document will control for that service or transaction.
3. Informational Website; No Automatic Service Agreement
The IMAGE MIAMI website may allow visitors to submit inquiries, booking requests, collaboration requests, organizer information, special guest details, gift invitation details, or other requests. Submitting a form or inquiry does not by itself create a confirmed booking, service agreement, obligation to provide services, or obligation to publish content.
A service becomes confirmed only when IMAGE MIAMI confirms the booking or service in writing, accepts the applicable payment or deposit, or otherwise provides express written confirmation. IMAGE MIAMI may request additional information before confirming any service.
4. Eligibility and Use of the Services
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services in a way that violates applicable law, infringes the rights of others, interferes with the operation or security of the website, attempts to gain unauthorized access to any account, gallery, administrative area, protected page, system, or data, or misuses IMAGE MIAMI content or media.
You are responsible for ensuring that any information you submit to IMAGE MIAMI is accurate, current, and lawful to provide.
5. Booking Requests, Payments, and Service Confirmation
Booking requests, package descriptions, availability, pricing, deposits, cancellation terms, rescheduling terms, delivery timelines, parking charges, next-day delivery options, download availability, gallery settings, and other service details are governed by the applicable Booking Terms & Service Agreement or written confirmation provided by IMAGE MIAMI.
Deposits or payments may range from 0% to 100% of the quoted service price depending on the service, client, event type, timing, scope, or written agreement. Unless expressly confirmed in writing, prices, packages, and availability shown on the website are subject to change.
IMAGE MIAMI may use third-party payment processors. Payment information may be processed by those providers under their own terms and privacy policies.
6. Selection of Photographers, Videographers, Editors, and Creative Professionals
Unless a specific person is expressly confirmed in writing as part of the service agreement, IMAGE MIAMI has the final right to select, assign, replace, or coordinate the photographer, videographer, editor, assistant, or other creative professional for any shoot, event coverage, portrait session, business service, gift invitation, or related production.
IMAGE MIAMI may consider creative fit, availability, logistics, technical requirements, style, schedule, location, scope of work, and other production factors when selecting the creative professional or team.
7. Galleries, Access, Password Protection, and Downloads
IMAGE MIAMI may deliver images or other media through online galleries, public pages, private links, password-protected pages, ZIP downloads, or other delivery methods. Some galleries may be open to the public, while others may require a password, access link, or other access control.
Password protection, access links, or similar measures are intended to provide an additional level of access control but do not guarantee absolute confidentiality or security. Clients, organizers, guests, and recipients are responsible for using access links and passwords carefully and sharing them only with appropriate people.
Download availability may vary by shoot, package, gallery, event, organizer arrangement, or IMAGE MIAMI settings. IMAGE MIAMI may enable, disable, limit, or modify download access when appropriate or as agreed in writing.
8. Gift Invitations and Gift Certificates
IMAGE MIAMI may offer digital gift invitations, gift certificates, or similar gift-based experiences. Gift invitations may involve information about both the purchaser or gift giver and the recipient. Gift-related services are subject to the applicable Gift Certificate Terms, Privacy Policy, Booking Terms, and written confirmation.
A gift invitation or gift certificate is not a confirmed session date until IMAGE MIAMI confirms the date and service details in writing. Scheduling is subject to availability, location, package scope, and production requirements.
9. Organizer, Partner, and Special Guest Information
Organizers, venues, partners, or authorized representatives may submit event details, organizer information, logos, links, sponsors, speakers, special guests, public profiles, professional titles, or related content for possible display on IMAGE MIAMI pages or galleries.
IMAGE MIAMI may review, edit, approve, decline, remove, reorder, or modify such information before or after publication. Submitting organizer, partner, or special guest information does not guarantee publication or placement.
The person submitting such information represents that they have the authority to provide it and that the information is accurate, lawful, and not misleading.
10. Ownership of IMAGE MIAMI Content
All website design, layout, text, branding, logos, graphics, images, videos, galleries, articles, features, code, page structure, user interface, creative direction, and other materials made available through the Services are owned by IMAGE MIAMI, its licensors, photographers, creators, partners, or other rights holders, unless otherwise stated.
You may not copy, reproduce, scrape, download, distribute, modify, create derivative works from, sell, license, publicly display, or exploit IMAGE MIAMI content except as expressly permitted by IMAGE MIAMI in writing or under the applicable Photo Usage Rights.
11. Client Use of Delivered Media
Client rights to use delivered photos, videos, or other media are governed by the applicable Photo Usage Rights, Booking Terms, written agreement, or gallery instructions. IMAGE MIAMI generally grants clients a license to use delivered media for the permitted personal, professional, business, editorial, social media, or commercial uses described in the applicable terms.
Unless expressly permitted in writing, clients may not sell, sublicense, transfer, misrepresent, or use delivered media in unlawful, defamatory, misleading, deceptive, adult, political, discriminatory, or rights-infringing contexts.
12. IMAGE MIAMI Use of Images and Event Coverage
Subject to the applicable Photo Release, Photo Usage Rights, Booking Terms, Event Photography Notice, and written agreements, IMAGE MIAMI may use selected photos, videos, event coverage, portraits, behind-the-scenes materials, client images, organizer content, and related media for portfolio, website, social media, editorial, promotional, advertising, partnership, press, and marketing purposes.
Private sessions, proposals, birthdays, family sessions, or sensitive private contexts may be subject to a different level of privacy, especially when the client requests privacy restrictions in writing before the shoot and IMAGE MIAMI agrees to those restrictions. Public events, business events, partner features, and event coverage may be treated differently as described in the applicable Event Photography Notice or written agreement.
13. AI, Automation, Face-Based Gallery Tools, and Media Organization
IMAGE MIAMI may use trusted software tools, automation, artificial intelligence, machine learning, image matching, face-based grouping or search, and related technologies to organize media, support editing workflows, improve gallery experiences, help users find images, prepare deliverables, manage inquiries, and operate the Services.
Where available, face-based gallery tools may help group or locate images of the same or similar person within a gallery. These tools are used to support media organization and gallery usability. They are not intended for legal identity verification, government or financial identity verification, law enforcement identification, eligibility decisions, or third-party advertising targeting based on facial features.
IMAGE MIAMI may provide removal, restriction, or privacy request options where reasonably available and appropriate, subject to technical limitations, public event context, organizer arrangements, already delivered files, legal requirements, and existing agreements.
14. User Submissions and Permissions
If you submit text, images, logos, names, links, event information, guest details, testimonials, reviews, feedback, comments, or other materials to IMAGE MIAMI, you grant IMAGE MIAMI permission to use, reproduce, display, edit, publish, distribute, and adapt that material as needed to operate, promote, improve, and provide the Services, unless otherwise agreed in writing.
You represent that you have all necessary rights and permissions to submit the material and that the material does not violate any law or the rights of any person or entity.
15. Reviews, Testimonials, and Social Content
If you provide a review, testimonial, comment, tag, mention, public post, or other feedback about IMAGE MIAMI, you permit IMAGE MIAMI to use that feedback for website, social media, marketing, advertising, portfolio, and promotional purposes, unless you request otherwise in writing and IMAGE MIAMI agrees.
IMAGE MIAMI may edit testimonials or feedback for length, clarity, formatting, and grammar, but will not intentionally change the substance in a misleading way.
16. Third-Party Services and Links
The Services may include or interact with third-party services, platforms, payment processors, analytics providers, advertising platforms, cloud storage providers, communication providers, social media platforms, embedded media, maps, forms, calendars, or external links. IMAGE MIAMI is not responsible for third-party websites, platforms, tools, terms, privacy practices, availability, or content.
Your use of third-party services may be governed by their own terms and policies.
17. Communications
By submitting a form, booking request, gift invitation request, organizer input, or other inquiry, you authorize IMAGE MIAMI to contact you using the contact information you provide, including by email, phone, text message, messaging app, or other reasonable communication method, subject to applicable law and your communication preferences.
Marketing communications may include unsubscribe or opt-out options where required or appropriate. Transactional, service, booking, payment, security, or gallery-related communications may still be sent as needed to provide the Services.
18. Advertising, Promotions, and Platform Features
IMAGE MIAMI may advertise its services through Google, Meta, Instagram, Facebook, social media platforms, search engines, partner channels, retargeting tools, and other advertising services. Advertising, analytics, cookies, pixels, and similar technologies are addressed in the Privacy Policy and Cookie Policy.
Any promotional offer, discount, package, feature, or limited-time campaign is subject to its stated terms and may be modified, paused, or discontinued by IMAGE MIAMI at any time unless prohibited by law.
19. Availability, Changes, and Right to Refuse Service
IMAGE MIAMI may modify, suspend, remove, restrict, or discontinue any website feature, page, gallery, service, package, offer, content, or access method at any time. IMAGE MIAMI may also decline, cancel, or refuse service, coverage, publication, collaboration, gallery access, or a booking request when appropriate, including for safety, legal, reputational, ethical, scheduling, payment, creative, operational, or compliance reasons.
IMAGE MIAMI reserves the right to remove or restrict content that it believes is inaccurate, unlawful, infringing, unsafe, misleading, inappropriate, abusive, reputationally harmful, or inconsistent with IMAGE MIAMI’s standards.
20. Cancellations, Rescheduling, Weather, and Force Majeure
Cancellations, rescheduling, late arrivals, weather-related changes, parking, additional time, next-day delivery, extra edits, venue limitations, and other service-specific terms are governed by the applicable Booking Terms & Service Agreement or written confirmation.
IMAGE MIAMI will not be responsible for delays, non-performance, reduced performance, or changes caused by events beyond its reasonable control, including weather, illness, emergencies, venue restrictions, public safety issues, travel disruptions, equipment failure despite reasonable preparation, power or internet outages, labor disruptions, government action, acts of God, or other force majeure events.
21. No Guarantee of Results
IMAGE MIAMI provides creative, editorial, production, media, gallery, and platform services. While IMAGE MIAMI aims to deliver a premium experience, it does not guarantee any specific business result, social media result, publicity result, search ranking, sales outcome, press coverage, audience response, or subjective creative preference unless expressly stated in writing.
Creative decisions, image selection, editing style, color treatment, publication format, layout, gallery organization, and feature presentation are subject to IMAGE MIAMI’s creative and editorial judgment unless otherwise agreed in writing.
22. Disclaimers
The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, IMAGE MIAMI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, error-free operation, and accuracy of website content.
IMAGE MIAMI does not guarantee that the Services will always be secure, uninterrupted, available, error-free, or free of viruses or harmful components.
23. Limitation of Liability
IMAGE MIAMI's total liability for any claim arising from services provided shall not exceed the total amount paid by the client for the specific session or service giving rise to the claim. IMAGE MIAMI is not liable for indirect, incidental, or consequential damages.
24. Indemnification
You agree to defend, indemnify, and hold harmless IMAGE MIAMI, its owners, employees, contractors, photographers, videographers, editors, representatives, affiliates, partners, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to your use of the Services, your violation of these Terms, your submitted materials, your misuse of content, your violation of another person’s rights, or your violation of applicable law.
25. Copyright, Takedown, and Removal Requests
If you believe content on the Services infringes your copyright, privacy rights, publicity rights, or other rights, you may contact IMAGE MIAMI at the email below with enough information for IMAGE MIAMI to review the request. IMAGE MIAMI may remove, restrict, disable, or decline to remove content at its discretion and in accordance with applicable law, agreements, public event context, organizer arrangements, and technical limitations.
Removal or restriction of content from IMAGE MIAMI-controlled pages does not guarantee removal from third-party platforms, search engines, social media, downloaded files, cached copies, screenshots, organizer materials, or content already shared by others.
26. Dispute Resolution
In the event of a dispute arising from these terms or any services provided by IMAGE Miami, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, the parties agree to attempt mediation before initiating any legal proceedings. Only if mediation fails may either party pursue litigation in Broward County, Florida.
27. Governing Law and Jurisdiction
These terms are governed by the laws of the State of Florida. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Broward County, Florida.
28. Changes to These Terms
IMAGE MIAMI may update these Terms from time to time. The updated version will be posted on the website with a revised “Last Updated” date. Your continued use of the Services after updated Terms are posted means you accept the updated Terms.
